CHANGE OF REGISTERED OFFICE

After incorporation, whenever there is a change in the registered office of the company then, a notice of the change of the registered office along with a verification of the registered office in the manner contained in Rule 27 of Companies (Incorporation) Rules, 2014, needs to be filed with the ROC within 15 days of each change.

CHANGE OF REGISTERED OFFICE PROCESS

Provisions regarding registered office of a company are primarily contained in Section 12 of the Companies Act, 2013. As per Section 12, every company is required on and from the 15th day of its incorporation and at all times thereafter to have a registered office which is capable of receiving and acknowledging all communications and notices as may be addressed to it. Companies are also required to furnish a verification of their registered office to the Registrar of Companies (ROC) within 30 days of the incorporation in the manner contained in the Rule 25 of Companies (Incorporation) Rules, 2014.

Changing company address can happen within city, change of city or change of state:

  • In case company/ business has changed its registered office within local limits of the same city or place,File Form INC-22.
  •  If company/business wishes to shift or change its registered office outside local limits of city, town or village,File Form MGT-14 and then Form INC-22 with Registrar of Companies (ROC)
  • In case, company wants to shift the registered office from one state to another state or from jurisdiction of one RoC to another, File the following  
    • Form MGT-14
    •  Form INC-23 - File application with Central Government in Form No.
    •  Form INC-28
    • Form INC-22
Documents required for Change in Registered Office
  • Registered document of the title of the premises of the registered office in the name of the company; or
  • Notarized copy of lease or rent agreement in the name of the company along with a copy of rent paid receipt not older than one month;
  • Authorization from the owner or authorized occupant of the premises along with proof of ownership or occupancy authorization, to use the premises by the company as its registered office; and
  • Proof of evidence of any utility service like telephone, gas, electricity, etc. depicting the address of the premises in the name of the owner or document, as the case may be, which is not older than two months.
